Vorah LLC — Terms and Conditions

1. Acceptance of Terms

By accessing, registering, or using any product, software, website, or service offered by Vorah LLC (“Vorah,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must not access or use the Services.

By clicking “I Agree,” creating an account, or continuing to use the Services, you consent to these Terms electronically under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

2. Scope of Services

Vorah provides digital software platforms, tools, and related programs (collectively, “Services”) for real estate professionals, brokerages, consumers, and other participants.

These Terms apply to all users, including Vorah 125 Collective members, website visitors, licensees, and affiliates.

Vorah LLC is a technology provider and does not engage in brokerage, agency, or real-estate representation.

Users are solely responsible for compliance with all real-estate laws, fiduciary duties, and licensing requirements within their jurisdictions.

3. Eligibility

You must be at least eighteen (18) years old or the legal age of majority in your jurisdiction to use the Services.

If you access the Services on behalf of an organization, you represent that you are authorized to bind that entity to these Terms.

4. Account Registration and Security

Users may be required to register for an account. You agree to provide accurate, current information and maintain the confidentiality of your login credentials. You are responsible for all activity under your account.

5. Payments and Refunds

Payments for subscriptions, memberships, or programs (including the Vorah 125 Collective) are processed through secure third-party processors such as Stripe.

By submitting payment, you authorize Vorah to charge your chosen payment method.

Refunds may be requested within fourteen (14) calendar days of the original payment date.

After this period, all payments are final and non-refundable, except in cases of verified billing error or as otherwise required by law. You are responsible for all applicable taxes.

6. Intellectual Property Rights

All intellectual property related to Vorah—including software, code, trademarks, content, databases, analytics, logos, videos, and all derivative works—are and shall remain the sole property of Vorah LLC.

You receive a limited, revocable, non-exclusive license to access and use the Services solely for lawful, personal, or professional purposes consistent with these Terms.You may not reproduce, distribute, modify, reverse engineer, resell, or create derivative works based on any portion of the Services without prior written permission from Vorah LLC.

7. User Content and Data Ownership

Users retain ownership of materials they upload or submit to Vorah but grant Vorah a limited, worldwide, royalty-free license to host, process, and display such content solely to operate and enhance the Services. Vorah may aggregate or anonymize usage data for analytics, compliance, and improvement purposes. All personally identifiable information is handled in accordance with the Vorah LLC Global Privacy Policy.

8. Compliance with Laws

Users are solely responsible for ensuring compliance with all applicable real estate, privacy, and advertising laws within their jurisdictions.

Vorah does not provide legal advice and assumes no responsibility for regulatory violations by users.

9. Prohibited Uses

You agree not to:

(a) Use the Services for unlawful, fraudulent, or misleading purposes.

(b) Upload, post, or share content that violates intellectual-property, advertising, or privacy laws.

(d) Interfere with or disrupt the operation or security of the Services.

(e) Impersonate Vorah staff or misrepresent affiliation.

10. Privacy Policy Integration

All personal data collected by Vorah is governed by the Vorah LLC Global Privacy Policy, which is incorporated by reference into these Terms.

By using the Services, you acknowledge you have read and accepted the Privacy Policy.

11. The Vorah 125 Collective Program

Participation in the Vorah 125 Collective is governed by the separate Vorah 125 Collective Agreement. That Agreement, along with this document and the Privacy Policy, forms a unified contractual framework. In the event of a conflict, the Collective Agreement prevails for matters specific to the program.

12. Termination and Suspension

Vorah reserves the right to suspend or terminate any account or access to the Services at its sole discretion, with or without notice, for violation of these Terms or applicable law. Upon termination, your license to use the Services immediately ceases.

13. Limitation of Liability

To the maximum extent permitted by law, Vorah LLC, its officers, employees, and affiliates shall not be liable

for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of the Services.

In no event shall Vorah’s total liability exceed the amount paid by you to Vorah within the twelve (12) months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless Vorah LLC and its affiliates from any claims, losses, or

damages arising from your violation of these Terms, your misuse of the Services, or your breach of applicable laws.

15. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied,

including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

Vorah does not warrant that the Services will be uninterrupted, secure, or error-free.

16. Arbitration and Governing Law

All disputes, claims, or controversies arising out of or related to these Terms, the Services, or any related

program shall be resolved exclusively through binding arbitration in the Commonwealth of Pennsylvania under

the Federal Arbitration Act and the rules of the American Arbitration Association.

No class or representative actions are permitted.

These Terms and any dispute arising hereunder shall be governed by the laws of the Commonwealth of

Pennsylvania, without regard to conflict-of-law principles.

17. Force Majeure

Vorah shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable

control, including natural disasters, war, labor disputes, government actions, or internet disruptions.

18. Changes to Terms

Vorah may modify these Terms at any time.

Updated versions will be posted on the official Vorah websites with a revised “Last Updated” date.

Continued use of the Services after notice constitutes acceptance of the updated Terms.

19. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force

and effect.

20. Entire Agreement

These Terms, together with the Vorah LLC Global Privacy Policy and the Vorah 125 Collective Agreement (if applicable), constitute the entire agreement between you and Vorah LLC regarding your use of the Services and supersede all prior communications or agreements.
